Syrena Terms of Service

1. About Syrena

Syrena is a curated digital platform operated by Syrena Ltd (“we”, “our”, “us”) that facilitates warm, intentional introductions between startup founders, investors, and service providers. Through matchmaking, events, and our Dealflow CRM tool, we enable professional connections based on preferences, intent, and profile data. Our services are available through our website (www.syrena.co.uk) and other digital interfaces (collectively, the “Syrena Service”).

Agreement to Terms — By accessing or using the Syrena Service, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Syrena Service.

Who We Are — Syrena Ltd is registered in England and Wales, Suite 6 Beaufort Court Admirals Way, Canary Wharf, London, Greater London, E14 9XL, company number 14395458.

Changes to These Terms — We may update these Terms periodically. We will provide notice of material changes. Continued use of the Syrena Service following an update constitutes acceptance.

2. Our Role and Regulatory Status

2.1 Not a Broker or Financial Advisor — We are not a broker, dealer, financial advisor, or intermediary.

2.2 Not FCA Regulated — We are not authorised or regulated by the Financial Conduct Authority or equivalent.

2.3 User Responsibility — You are solely responsible for your own due diligence on any person or opportunity you connect with via Syrena.

3. User Eligibility

3.1 You must:

  • Be 18+ and acting in a business/professional capacity.
  • Provide accurate information, and
  • Keep login credentials secure.

3.2 We may suspend or terminate access if you breach these Terms or misuse the Service.

4. Subscription Plans & Pricing

4.1 Plans

We offer Free, Starter, Growth, and Scale tiers. The current pricing, features, and intro allocations are published at www.syrena.co.uk/subscribe and may change with notice.

  • Free: Limited access, no warm intros.
  • Starter (£79/mo): 3 intros/month, 7 matches/week.
  • Growth (£129/mo): 9 intros/month, 7 matches/week, priority support.
  • Scale (£299/mo): 15 intros/month, all features, priority support.

4.2 Intro Credits

  • 4.2.1 Intros reset monthly and do not roll over.
  • 4.2.2 Unused intros expire at the end of each billing cycle.
  • 4.2.3 Additional top-up intros are available at published rates per plan and are non-refundable.
  • 4.2.4 If an investor does not respond within 14 days, the intro is re-credited (no cash refunds).

4.3 Commitment & Billing

  • 4.3.1 Subscriptions are billed monthly or quarterly in advance.
  • 4.3.2 Quarterly plans are discounted and non-refundable once the billing cycle starts.

4.4 3-Month Minimum Commitment

  • 4.4.1 By subscribing to any paid plan, you agree to a minimum commitment of three (3) consecutive months. This applies whether you pay monthly or quarterly. If you select monthly billing, you authorise Syrena to charge you for each of the three commitment months. If you cancel before the end of the commitment period, all remaining months will be invoiced immediately and are payable in full. No refunds will be given for early cancellation, and any unused introductions or features will expire at the end of the commitment period.
  • 4.4.2 Plans auto-renew unless cancelled before the renewal date with a minimum of one month’s notice.

We apply this commitment because, based on our platform data, it takes the average founder over 3 months and multiple investor conversations to achieve meaningful fundraising results.

5. Features and Limitations

5.1 Matching and Introductions

  • 5.1.1 Matches are generated from your profile, preferences, and activity.
  • 5.1.2 Intros are only made when both parties meet relevance criteria.
  • 5.1.3 We do not guarantee funding, deals, or ongoing relationships.

5.2 Investor Requests

  • 5.2.1 Founders can request intros from investors (per plan entitlement).
  • 5.2.2 Investors may request intros to founders; acceptance is at the founder’s discretion.

5.3 Pitch Deck Visibility

  • 5.3.1 If you upload a pitch deck, you grant us permission to share it with relevant investors.
  • 5.3.2 We are not responsible for investor misuse of your materials.

5.4 Event & Masterclass Access

  • 5.4.1 Event and masterclass places are subject to availability.
  • 5.4.2 We may refuse entry for conduct breaches.
  • 5.4.3 We may record/photograph events for promotional use.
  • 5.4.4 We reserve the right to reschedule or cancel events. In such cases, we will offer an equivalent alternative should the revised date be unsuitable.

6. Conduct Rules

6.1 You must not:

  • Use the Service for unlawful purposes.
  • Impersonate others or misrepresent affiliations.
  • Share confidential or proprietary information without consent.
  • Interfere with the platform’s operation or security.
  • Upload harmful or infringing content.

6.2 We may suspend/remove any user for breaches.

7. Content & Data Rights

  • 7.1 You own the content you upload (“User Content”).
  • 7.2 You grant us a non-exclusive, royalty-free licence to use it for operating/promoting the Service, per our Privacy Policy.
  • 7.3 You confirm you have the right to share all content you upload.
  • 7.4 You must not sell, license, or otherwise share any attendee data you receive through Syrena with third parties; and must not use the data to promote unrelated third-party services or add attendees to unrelated third-party mailing lists.
  • 7.5 You agree to comply with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

8. Data Protection

  • 8.1 We follow the UK GDPR, EU GDPR (where applicable), and the Data Protection Act 2018 when handling your personal data or the personal data of any other parties.
  • 8.2 We may collect personal details you provide, such as your name, contact details, and payment information. We use your personal data to provide our services, process payments, respond to enquiries, and improve our website.
  • 8.3 We only process your data where the law allows, such as for a contract, legal duty, or with your consent.
  • 8.4 We may share your data with trusted service providers, but we never sell your personal information.
  • 8.5 If your data is transferred outside the UK/EEA, we will ensure it is properly protected. You have rights to access, correct, delete, or limit your personal data, and to withdraw consent at any time.
  • 8.6 Where any personal data of other parties is provided to you for the provision of our services, you agree to act as a data processor only of that personal data as defined in the relevant law, and we continue to act as the data controller.
  • 8.7 You must not sell, license, or otherwise share any shared data you receive through Syrena with third parties; and must not use the data to promote unrelated third-party services or add attendees to unrelated third-party mailing lists.
  • 8.8 You agree to comply with applicable data protection laws, including the UK GDPR, EU GDPR (where applicable), and Data Protection Act 2018.

9. Service Provider & Investor Disclaimer

  • 9.1 Service providers are independent third parties; we are not responsible for their services or outcomes.
  • 9.2 Investors are not vetted for financial standing; we do not guarantee their availability or investment readiness.
  • 9.3 We do not participate in or manage negotiations between parties.

10. Fees & Success Charges

  • 10.1 Subscription fees are as published and payable in advance.
  • 10.2 If success fees or commissions apply to introductions resulting in funding or deals, these will be agreed in writing before introductions are made.
  • 10.3 All fees are non-refundable unless expressly stated.

11. Liability Limitations and Indemnity

  • 11.1 The Service is provided “as is” and “as available.”
  • 11.2 We are not liable for:
    • Loss of profits, opportunity, or goodwill.
    • Indirect or consequential losses.
    • Losses from interactions or agreements between users.
  • 11.3 Total liability is capped at the lesser of £1,000 or the amount paid in the last 12 months.
  • 11.4 Nothing in these terms shall limit liability for death, personal injury, or fraud.
  • 11.5 We agree to indemnify you against any third-party claim, suit or proceeding arising out of any acts or omissions of Syrena that violate these Terms.

12. Termination

  • 12.1 You may cancel at any time; cancellation takes effect at the end of the current billing cycle, however all fees chargeable under the current three month-term, or any renewal term, shall remain fully payable.
  • 12.2 We may suspend/terminate for breaches or to protect the platform.
  • 12.3 On termination, access ends and User Content may be deleted.

13. Governing Law

  • 13.1 These Terms are governed by the laws of England and Wales, with exclusive jurisdiction in its courts.
